These Terms of Service ("Terms") govern use of the Praxis clinic-management platform ("Praxis", "we", "us") by a clinic and the staff accounts it creates ("you", "your clinic"). By creating a clinic account or logging in, your clinic agrees to these Terms.
Praxis is offered to clinics operating in Egypt. If your clinic operates elsewhere, you are responsible for confirming that using Praxis is lawful for you.
1. The service
Praxis is software for running a clinic's day-to-day operations: patient records, appointment scheduling (timed slots and numbered queues), visit and prescription/attachment records, WhatsApp/SMS appointment notifications, an optional public online-booking page, reporting, and subscription billing.
Praxis is a tool for your clinic, not a medical service provider. We do not practice medicine, and we are not responsible for the clinical decisions your clinic's doctors make or the accuracy of the medical information your clinic enters.
2. Accounts and eligibility
A clinic account is created by an admin, who then creates staff accounts (doctor, reception, and other roles) under a clinic-specific login code. Your clinic's admin is responsible for the accuracy of information provided at signup, for who is given a staff account, and for that staff member's use of the platform.
You must keep login credentials confidential. Disabling a staff account or resetting its password immediately ends that person's active sessions. You must notify us promptly of any suspected unauthorized access.
You must be legally authorized to operate a clinic (or the relevant healthcare practice) under Egyptian law to use Praxis for that purpose.
3. Free trial
New clinics get a free trial (currently 10 days) starting at signup, with full read/write access to the platform and no card required to start the trial.
We send a reminder before the trial ends. If no paid subscription is activated by the end of the trial, the clinic account moves to the same read-only state described in Section 5 for an expired subscription — your clinic's data is not deleted, but new bookings, patient records, and other writes are blocked until a plan is activated.
4. Subscription plans and billing
Praxis is offered on paid subscription plans, billed monthly or yearly, in Egyptian Pounds (EGP). Current plan names, doctor-seat limits, and prices are shown to your clinic's admin at signup and in the billing settings screen — we may adjust pricing for future billing periods with notice.
Payments are processed by Kashier, a third-party payment gateway, and can be made by card, InstaPay, mobile wallet, or other methods Kashier supports. Praxis does not handle or store your full card details. A subscription period is activated once Kashier confirms the payment.
Subscriptions do not renew themselves automatically inside the product today — your clinic's admin pays for the next period (monthly or yearly) from the billing screen. Amounts paid are for the period purchased and are non-refundable except where required by law or at our discretion.
5. What happens if a subscription lapses — grace period, then read-only
If a paid period ends without renewal, the clinic remains fully writable for a grace period (currently 10 days after the period's end date) — plenty of clinics simply pay a few days late, and we do not want a short delay to disrupt patient care.
After the grace period, the clinic account becomes read-only: staff can still log in and view patient files, appointment history, and reports, because that information is your clinic's legal responsibility, not something we will withhold over a billing lapse. New bookings, new patient records, and other writes are blocked until the subscription is renewed. We do not delete a clinic's data for non-payment.
A suspended account (for a Terms violation, for example) may lose read access as well as write access — see Section 9.
6. Acceptable use
- Use Praxis only for legitimate clinic administration and patient care coordination.
- Do not use Praxis to collect or process patient data without a lawful basis, including, where required, the patient's consent.
- Do not attempt to access another clinic's data, bypass tenant isolation, probe or attack the platform's security, or use the service to send unsolicited or non-transactional WhatsApp/SMS messages.
- Do not upload unlawful content, or content you do not have the right to store, as a patient attachment.
- Do not resell, sublicense, or provide the platform to a business that is not your own clinic without our written agreement.
7. Patient data — your clinic's responsibility
As between you and Praxis, your clinic is the owner and data controller of the patient records it creates, and is responsible for their accuracy, for having a lawful basis to collect them, and for responding to your patients' own access, correction, and deletion requests (see our Privacy Policy for how Praxis supports that).
Praxis provides tools — tenant isolation, role-based access so reception does not see clinical notes by default, audit logging, encrypted backups, and signed short-lived URLs for attachments — to help your clinic keep patient data secure, but your clinic remains responsible for how its own staff use those tools (for example, granting the right role to the right person).
8. Third-party services
Praxis relies on third-party services to operate, including Kashier for payments and Meta's WhatsApp Cloud API for appointment messaging. Your use of those features is also subject to the relevant third party's own terms, and we are not responsible for outages, errors, or policy changes on their side, though we take reasonable steps to handle them gracefully (for example, falling back to SMS if a WhatsApp message cannot be delivered).
9. Suspension and termination
Your clinic's admin may close the clinic account at any time by contacting us at [SUPPORT_EMAIL].
We may suspend or terminate an account for a material breach of these Terms (including the acceptable-use rules in Section 6), for extended non-payment beyond the read-only period in Section 5, for fraud or misuse of the platform, or where required by law. Where practical, we will give notice first.
On termination for cause, we may restrict access entirely rather than leaving the account read-only. We will work with your clinic in good faith to help it export its patient data before or shortly after termination, except where doing so would conflict with a legal obligation.
10. Disclaimer of warranties
Praxis is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or fit for a particular purpose beyond what is described in these Terms. We are not a substitute for your clinic's own clinical judgment, recordkeeping obligations, or regulatory compliance.
11. Limitation of liability
To the maximum extent permitted by Egyptian law, Praxis will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from use of the service. Our total liability for any claim relating to the service is limited to the amount your clinic paid us in the twelve months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under mandatory Egyptian law.
12. Changes to these Terms
We may update these Terms as the product changes. Material changes will update the date below, and where a change materially reduces your rights we will make reasonable efforts to notify your clinic's admin in advance.
13. Governing law
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts of [GOVERNING_LAW_CITY], Egypt.
